Exibeat – Terms & Conditions

1. Purpose of this Page

These Terms of Use ("Terms") govern your access to and use of the platform operated by Noises Crew UG (haftungsbeschränkt) (doing business as Exibeat). They explain your rights, responsibilities and the rules for interacting with our platform as a DJ, Producer or user.

2. Eligibility

By using Exibeat, you confirm that:

  • You are at least 18 years old or the legal age in your country
  • You are voluntarily providing your own contact information
  • You have the legal right to upload and share the music files you submit

3. Account & Roles

  • You may register as a "Producer" to upload tracks, or as a "DJ" to discover, download or request tracks.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
  • Exibeat may suspend or terminate your account at its discretion for violations of these Terms or applicable law.

User Conduct & Community Guidelines

Users must:

  • Be respectful in interactions.
  • Use Exibeat professionally to promote, sell, download and purchase music.
  • Report violations to Customer Support.

Prohibited actions include:

  • Harassment, Hate Speech, or Threats (e.g., racism, sexism, bullying).
  • Spam & Scams (e.g., fake accounts, misleading offers).
  • Copyright Violations (e.g., unauthorized uploads).
  • Fraudulent Transactions (e.g., chargeback abuse, fake purchases).

Exibeat may review, restrict, or remove content that violates these guidelines and take action, including warnings, content removal, or account suspension.

4. Uploading & Licensing (Producer)

  • You retain full ownership of the tracks you upload. By uploading, you grant Exibeat a non-exclusive, royalty-free licence to host, stream and make available your tracks on the platform so long as they remain active.
  • DJs you submit to may download or stream your tracks for evaluation or performance; redistribution or resale outside Exibeat is prohibited.
  • You warrant that you own all rights (or are duly licensed) to upload, distribute or sell your content.

Unreleased Tracks Uploaded During Onboarding.
If you access Exibeat through an invitation link and upload unreleased tracks during the onboarding process, these tracks are saved privately to your personal library and are not visible or accessible to any other user until your profile is fully completed. If you do not complete your profile, the tracks remain stored securely in our system for up to 90 days, after which they are permanently deleted if onboarding is not completed.

5. Downloading & Usage (DJ)

  • DJs may download tracks submitted to them by Producers for evaluation, performance use, and personal library.
  • Downloads may be free or paid as set by the Producer.
  • Redistribution, resale or sharing of the downloaded files with third parties is prohibited.
  • Paid downloads grant the DJ a personal, non-exclusive, non-transferable license to use the track for evaluation, performance, and personal library purposes. Access to paid downloads is provided after successful payment confirmation. Redistribution, resale, sublicensing, or sharing of the downloaded files with third parties is strictly prohibited.

6. Payment, Fees & Refunds

6.1 Role of Exibeat in Transactions

Exibeat operates as an online marketplace that facilitates transactions between Producers and DJs. Producers are the sellers of the digital tracks offered on the platform. Exibeat acts as an intermediary and technical service provider, enabling payments, downloads and related services, but does not itself sell the tracks unless explicitly stated otherwise.

6.2 Third-Party Payment Processing

All payments on Exibeat are processed by trusted third-party payment service providers, primarily Stripe, Inc. ("Stripe"). By making a purchase or receiving payouts through Exibeat, you agree to be bound by Stripe’s applicable terms and privacy policy in addition to these Terms.

Exibeat does not store or process raw credit card details. Payment information is handled directly by Stripe in accordance with industry security standards (including PCI-DSS). Exibeat is not responsible for errors, delays, service interruptions, account restrictions or payment refusals caused by Stripe or other payment providers.

6.3 Prices, Fees & Platform Commission

Prices for tracks are set by Producers. The displayed price at checkout may include or exclude applicable taxes depending on your location and legal requirements.

Exibeat charges a platform commission on each paid transaction (currently 20% unless otherwise stated). Payment processing fees charged by Stripe may also apply and are deducted automatically. All applicable fees are disclosed before payment confirmation.

6.4 Taxes

You are responsible for paying any applicable taxes associated with your purchases or sales, including VAT, GST, or sales tax, as required by law. Where legally required, Exibeat or its payment providers may collect, withhold, and remit taxes to relevant authorities, and may request additional information for tax compliance purposes.

6.5 Refunds & Chargebacks

Purchases of digital tracks are non-refundable once the download link has been made available and the file is accessible, except where the file is unavailable, corrupted, or technically defective, or where a refund is required by mandatory consumer protection law.

If a payment is reversed, disputed or charged back by a DJ through their payment provider, the corresponding amount may be deducted from the Producer's available balance. Any dispute or chargeback fees imposed by the payment provider may also be deducted. Exibeat reserves the right to suspend payouts or accounts in cases of suspected fraud or abuse.

6.6 Payouts to Producers

Payouts to Producers are processed via Stripe to the payment account connected by the Producer. Payout timing, thresholds and availability may depend on Stripe's processing rules, verification requirements, and compliance checks. Exibeat does not guarantee payout timing and is not responsible for delays caused by Stripe or regulatory requirements.

7. Communication

By registering an account, you agree that Exibeat may send you:

  • Service communications (mandatory): account notices, payment confirmations, security alerts, and other essential information needed to use the platform. You cannot opt out of these.
  • Optional updates (marketing): product news, early access invites, feature updates, or promotional content. You may opt out of these at any time by clicking "unsubscribe" in the email or contacting us via our Customer Support.

8. Intellectual Property

  • Exibeat does not claim ownership of your content; you retain all rights not expressly granted.
  • Users must not upload or distribute content infringing third-party rights.
  • Any paid content must be owned by you or you must hold all necessary licenses.

9. Governing Law & Jurisdiction

  • These Terms are governed by the laws of Germany.
  • For business users, the exclusive jurisdiction is the courts of Leipzig, Saxony.
  • For consumers, mandatory local jurisdiction rules apply.
